Twitter (NYSE: TWTR) started trading on November 7, 2013 and on that day, closed at $44.90 while it closed $5.81 lower at $39.09 on May 1, 2014 about six months after its initial public offering (IPO). The shares of the company went as high as $73.31 on December 31, 2013 but it recorded the lowest at $39.06, which is very near the current price level, on November 25, 2013.
According to the company's Form S-1 filing with the Securities and Exchange Commission, the par value of each share of stocks that investors snapped at $44.90 on IPO day is so close to ZERO at $0.000005 (p. 1). The company initially estimated that its IPO will be valued at $1 billion which resulted to a registration fee of $128,000. The Form S-1 was filed on October 3, 2013.
Interestingly, after , Twitter was revised this filing for 5 times before the IPO date. For example, it revised its offer price upward to $26 valuing the IPO at $1.82 billion which is almost twice as much as its initial valuation.
Financial Condition
Evaluation of Twitter's financial condition is very limited since there are only two major financial documents that we can used. First, its amended prospectus. Second, its Form 10-K filing for the year ended December 31, 2013. This filing is the company's first.
